I. Scope of services
The purpose of these Terms of Service is to clarify the rights and obligations between Arclight NanoTech (Suzhou) Co., Ltd (hereinafter referred to as "Arclight") and its customers in relation to the PVD coating services (including, but not limited to, the design, processing, consulting and maintenance of PVD coatings, etc.). Arc Light will provide professional PVD coating services according to the specific needs of customers.
Ⅱ. The Service Standard
Arc Light promises that the PVD coating services provided will follow the relevant industry standards and customer requirements to ensure that the coating quality meets the established specifications and performance requirements. At the same time, Arclight will take the necessary measures to protect customers' intellectual property rights and trade secrets.
Ⅲ. The Service Cost and Payment
(1) The service fee will be determined according to the specific content, difficulty and scale of the service required by the customer, and will be clearly marked in the service contract signed by both parties.
(2) The customer is required to pay the service fee before the commencement of the service or in accordance with the time node agreed in the contract. If the customer fails to pay on time, the service provider has the right to suspend or terminate the service.
IV. Service Term
The service term will be determined according to the customer's demand and mutual consultation, and will be clearly marked in the service contract. Arclight will complete all the agreed services within the service period.
V. Change and Termination of Services
(1) If it is necessary to change the content or duration of the service, both parties shall notify each other in advance in writing and by consensus. The changed content will be used as a supplementary part of the Terms of Service, with the same legal effect.
(2) If the service cannot be continued due to force majeure or other reasons beyond the control of both parties, the two parties may negotiate to terminate the service. In this case, the service provider will charge the corresponding fees according to the completed service content and refund the remaining fees (if any).
VI. Liability For Breach of Contract
(1) If ArcLight fails to provide the service as agreed or the service quality does not meet the requirements, the customer has the right to request the Company to take remedial measures or compensate for the loss.
(2) If the customer fails to pay the service fee on time or violates other contractual obligations, the Company has the right to require the customer to assume the liability for breach of contract and compensate for losses.
VII. Others
(1) These Terms of Service shall take effect from the date of signature and seal of both parties, and shall be valid until the date when the service is completed and the rights and obligations of both parties are fulfilled.
(2) The Terms of Service shall be executed in duplicate, one by each party, and shall have the same legal effect.
